These Terms of Use ("Terms") govern your access to and use of the StayUp desktop application and the related web dashboard (collectively, the "Service"). By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.

1. Description of the Service

StayUp is a desktop application designed to simulate basic user activity (mouse clicks, mouse scrolling, and keyboard arrow key presses) for the purpose of maintaining system activity indicators in third‑party time tracking or activity monitoring software.

The Service includes:

• a desktop application;
• a web-based dashboard for configuration, subscription management, and license token generation.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms.

3. User Accounts and Authentication

Access to the web dashboard is provided via Google Authentication. By authenticating, you authorize the Service to receive and store your email address from Google for identification and account management purposes.

You are responsible for maintaining the confidentiality of your access credentials and license token.

4. License Token and Subscription

• Access to the desktop application functionality requires a valid license token.
• License tokens are generated and managed through the web dashboard.
• Each time the desktop application starts, it sends only the license token and the application version to the server to verify an active subscription.
• If the subscription is inactive, expired, or invalid, the Service may be limited or disabled.

All payments, subscription terms, billing cycles, trials, cancellations, and refunds are governed by the terms presented at the time of purchase and by the applicable payment provider.

5. Data Collection and Privacy

5.1 Desktop Application

The desktop application transmits only the following data to the server:

• license token;
• application version.

The desktop application does not transmit:

• personal data;
• keystroke contents;
• screen data;
• cursor coordinates;
• application usage data;
• any other user-identifiable information.

5.2 Web Dashboard

The web dashboard may store:

• the user's email address received from Google Authentication;
• technical logs which may include IP address and browser User-Agent, when necessary for security, diagnostics, or statistical purposes.

6. Acceptable Use

You agree to use the Service in compliance with all applicable laws, regulations, and third‑party agreements.

You acknowledge and agree that:

• you are solely responsible for how you use the Service;
• you are responsible for ensuring that the use of the Service does not violate your employment contracts, company policies, or agreements with third‑party services;
• the Service is provided as a general-purpose tool and does not guarantee any specific outcome.

The Service provider does not endorse or encourage misuse of third‑party platforms.

7. Prohibited Use

You agree not to:

• use the Service for unlawful purposes;
• attempt to reverse engineer, decompile, or modify the Service;
• interfere with or disrupt the integrity or performance of the Service;
• share, resell, or distribute license tokens without authorization;
• use the Service in a manner that could cause legal or reputational harm to the Service provider.

8. Software Behavior and Limitations

• The desktop application operates in the background and is controlled exclusively via global hotkeys.
• Configuration settings are received from the server and stored locally in a configuration file.
• The executable file may be renamed by the user without affecting functionality.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

9. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non‑infringement.

The Service provider does not warrant that:

• the Service will be uninterrupted or error‑free;
• the Service will meet your expectations;
• third‑party systems will respond in any particular manner.

10. Limitation of Liability

To the maximum extent permitted by law, the Service provider shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, business opportunities, or reputation, arising out of or related to your use of the Service.

Your use of the Service is at your sole risk.

11. Termination

The Service provider reserves the right to suspend or terminate access to the Service at any time, with or without notice, if you violate these Terms or if required by law.

Upon termination, your right to use the Service will immediately cease.

12. Changes to the Terms

The Service provider may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
